Liz McCarthy B.A., LLB
BIO
Liz McCarthy is an experienced legal executive with nearly two decades of expertise in private equity, business law, mergers and acquisitions and tax strategy. Most recently, Liz spent 9 years with Alaris Equity Partners Income Trust, a Canadian publicly-listed private equity firm, where she worked on a broad variety of acquisitions and divestitures, many of which included legal and tax diligence on the target, negotiating debt agreements, issuing and acquiring common and preferred equity, leading complex international tax strategies and drafting and negotiating acquisition and governance agreements. In her time at Alaris, Liz also worked on all day-to-day legal matters, including employee compensation plans, internal policies, advising the board, reviewing all publicly available materials, overseeing corporate litigation and reviewing company contracts. Before joining Alaris, Liz spent 7 years practicing tax and corporate law at Burnet, Duckworth & Palmer LLP, where she advised public and private companies, individuals, and energy clients on complex Canadian and cross-border tax and corporate matters. Liz is known for her ability to balance rigorous legal analysis with practical, business-focused solutions. She is flexible in the advice she offers, recognizing that each client has different goals and risk tolerance. Liz has a collaborative negotiation style and believes that by understanding what motivates counterparties, it is often possible to unlock creative solutions that work for all parties involved. Liz holds a Bachelor of Laws from the University of British Columbia and a First-Class Honours Bachelor of Arts from the University of Calgary. She is recognized as one of Lexpert’s Rising Stars: Leading Lawyers Under 40 (2023). Liz is also a member of the Institute of Corporate Directors, Tax Executives Institute, and the Canadian Petroleum Tax Society. Beyond her professional career, Liz is a volunteer in many of Calgary’s community organizations, including Heritage Soccer, Cantare Children’s Choir, Banff Alpine Racers and Chinook Park School.

Fiana Bakshan BComm, JD
BIO
Fiana Bakshan is a seasoned legal executive and trusted advisor. Bringing over a decade of experience leading in house legal functions, she has a proven ability to partner strategically with business leaders, translating complex legal issues into practical, value driven solutions that support operational and commercial objectives. She began her career in private practice at Burnet, Duckworth & Palmer LLP before moving in house. As the first legal counsel for Tenaris in Canada, she built the legal function from the ground up, serving as Legal Director and a key member of the senior leadership team. In that role, she led all legal matters across the company’s Canadian operations, from complex commercial agreements and employment law to real estate, governance, and regulatory compliance. Prior to Tenaris, Fiana was with Canadian Tire (FGL Sports), where she served as Legal Counsel and Privacy Officer. She also has experience leading global legal operations initiatives, streamlining processes and fostering cross border collaboration across a multinational legal team. Fiana’s approach is characterized by strategic insight, pragmatism, and a strong focus on risk management—integrating legal considerations seamlessly into business decision-making. She is dedicated to delivering practical, commercially-fluent legal counsel that aligns with organizational goals and drives meaningful outcomes. Beyond her legal work, Fiana is an active board director and community leader, contributing her governance expertise to organizations focused on health, the arts, and economic development.
